Referral Program Terms
Please read these terms carefully before submitting a referral or participating in the Solar Power San Diego Referral Program.

These terms are provided as a draft for legal review and are subject to change. They do not constitute a binding contract until reviewed and approved by Solar Power San Diego and, where applicable, signed by the referring party.
1. Eligibility
The Solar Power San Diego Referral Program is open to individuals and businesses who are at least 18 years of age, are legally authorized to work in the United States, and are not currently employed by Solar Power San Diego or any of its affiliates. Solar Power San Diego reserves the right to accept or decline any referral partner application at its sole discretion.
2. What Constitutes an Accepted Referral
A referral is considered accepted when Solar Power San Diego confirms receipt in writing and assigns a referral number. Submission of a referral form does not guarantee acceptance. Solar Power San Diego may decline any referral for any reason, including but not limited to: the prospective client is already known to Solar Power San Diego; the referral is a duplicate; the prospective client does not meet Solar Power San Diego's client criteria; or the referral does not include sufficient information to proceed.
3. Existing Leads and Duplicate Referrals
A referral will not be credited if Solar Power San Diego has already been in contact with the prospective client, if the prospective client has already engaged Solar Power San Diego independently, or if a duplicate referral has been submitted by another party. Solar Power San Diego will flag possible duplicates for manual review rather than automatically rejecting them. The determination of whether a referral is a duplicate is made solely by Solar Power San Diego.
4. Required Client Consent
By submitting a referral, you confirm that you have obtained the prospective client's permission to share their contact information with Solar Power San Diego and that the prospective client may be contacted by Solar Power San Diego. You must not submit a referral on behalf of a person who has not authorized you to do so.
5. Compensation
Referral compensation, if any, is governed solely by a separate written compensation agreement signed by both parties. No compensation is owed for any referral unless a valid written compensation agreement is in place at the time the referral is submitted and accepted. The existence of the Referral Program, these Terms, or the submission of a referral form does not create any obligation on the part of Solar Power San Diego to pay compensation. Compensation eligibility, calculation, and payment timing will be specified in the written compensation agreement. Solar Power San Diego will not publish or disclose compensation rates or structures publicly.
6. When a Referral Becomes Eligible for Compensation
If a written compensation agreement is in place, a referral becomes eligible for compensation only when: (a) the referral has been accepted by Solar Power San Diego; (b) the prospective client has entered into a signed consulting engagement agreement with Solar Power San Diego; and (c) any additional conditions specified in the written compensation agreement have been satisfied. Eligibility for compensation does not guarantee payment until all conditions are met.
7. Tax Documentation
Referral partners who receive compensation may be required to provide a completed IRS Form W-9 or equivalent tax documentation before payment is issued. Solar Power San Diego may be required to issue a Form 1099 or equivalent for compensation paid. Referral partners are solely responsible for reporting and paying any taxes owed on compensation received.
8. No Authority to Represent Solar Power San Diego
Participation in the Referral Program does not create an employment, agency, partnership, or joint venture relationship between the referring party and Solar Power San Diego. Referral partners have no authority to make representations, warranties, or commitments on behalf of Solar Power San Diego, to negotiate or enter into contracts on Solar Power San Diego's behalf, or to use Solar Power San Diego's name, logo, or trademarks without prior written permission.
9. Compliance with Applicable Law
Referral partners are responsible for ensuring that their participation in the Referral Program complies with all applicable federal, state, and local laws, including but not limited to: licensing requirements for real estate, insurance, financial, or energy-related referrals; professional ethics rules applicable to attorneys, CPAs, financial advisors, and other licensed professionals; anti-kickback and fee-splitting prohibitions; and privacy and data protection laws. Solar Power San Diego makes no representation that participation in the Referral Program is permissible under any particular professional licensing or ethics rules.
10. Confidentiality
Referral partners must treat all information about Solar Power San Diego's clients, prospective clients, business operations, pricing, and consulting engagements as strictly confidential. Referral partners may not disclose, share, or use such information for any purpose other than submitting the referral. Referral partners must not access, attempt to access, or share any client documents, proposals, contracts, financial information, or other confidential materials.
11. Right to Reject or Discontinue
Solar Power San Diego reserves the right to reject any referral, decline any referral partner application, suspend or terminate any referral partner's account, or discontinue the Referral Program at any time, with or without notice, and for any reason. Termination of the program will not affect any compensation obligations under a valid written compensation agreement for referrals accepted prior to termination.
12. Changes to These Terms
Solar Power San Diego may update these Terms at any time. Continued participation in the Referral Program after changes are posted constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.
